Abstract
El objeto de este Trabajo de Fin de Grado –en adelante TFG– es analizar el régimen legal de la segregación de sociedades mercantiles, que es un tipo de modificación estructural regulado como modalidad de escisión en la Ley 3/2009, de 3 de abril, sobre
modificaciones estructurales de las sociedades mercantiles –en adelante LME–. La primera parte del TFG acomete un análisis de los antecedentes legales, jurisprudenciales y doctrinales sobre la segregación antes de adquirir naturaleza de operación tipificada mercantilmente en la LME. En esta primera parte del trabajo
también se realiza un estudio en profundidad de las notas características de las modificaciones estructurales, con particular referencia a la escisión, con el objetivo de encuadrar en perspectiva la figura de la segregación y poder delimitar así con mayor
claridad las principales cuestiones que esta modalidad de escisión suscita, especialmente en relación a la necesidad de tutela de los socios y acreedores sociales. La segunda parte del TFG se dedica a analizar las notas definitorias específicas de la segregación a la luz de su regulación en el artículo 71 LME y demás preceptos aplicables.
En esta segunda parte se profundiza, asimismo, en las diferencias que presenta la segregación frente a las demás clases de escisión, así como en el significado y alcance de sus propias especialidades. El propósito de este Trabajo persigue principalmente examinar el régimen jurídico de la segregación con el fin de dilucidar las cuestiones de mayor relieve e interés actual que presenta esta operación, entre las que se encuentra una cuestión tan básica pero de tanta trascendencia como la de saber si tras la promulgación de la LME cabe seguir realizando como operación distinta, y sometida,
por tanto, a un régimen diverso al de la segregación, la aportación no dineraria de rama de actividad y, por consiguiente, si, en suma, ambas operaciones resultan compatibles en la práctica. El hecho de que la segregación, pese a su regulación reciente, se haya convertido en una operación de tanta relevancia práctica y esté en el
centro del debate doctrinal acerca de las modificaciones estructurales queda de manifiesto a lo largo de este TFG, que finaliza con unas conclusiones reflexivas y de índole valorativa sobre el régimen mercantil de tan compleja y versátil figura. The purpose of this TFG is to analyze the legal regime of segregations of corporations, which is a kind of structural change regulated as a modality of division in the Act 3/2009 of 3 April on structural changes of corporations. The first part of TFG undertakes an analysis of the legal background, jurisprudence and doctrine about the segregation before it gains a typified role as a typified mercantile operation on the LME. Also, in this first part of the work is carried out a deep study of the characteristic features of the structural changes, with particular reference to the division, in order to frame in perspective the figure of segregation and to define more clearly the main questions this division mode raises, especially related with shareholders´ and creditors´ protection. The second part of the TFG is focused on analyzing the segregation´s specific features upon to its regulation in Article 71 LME and other applicable requirements.
Moreover, this second part deepens on the differences that the segregation presents
in respect of other kinds of division, as well as the meaning and scope of their own
specialties. The purpose of this work pursues mainly to examine the legal regime of
segregation in order to elucidate the issues of higher profile and current interest
presented by this operation, among which there is a basic question, but nevertheless
so important as to know whether after the enactment of the LME we could continue
to perform as a different operation, with other requirements different of the
segregation ones, the contribution in kind and, therefore, if both operations are
compatible in practice. The fact that the segregation, despite its recent regulation, has
become an operation with a practical relevance and it is in the center of the doctrinal
discussion about structural changes is evidenced along the TFG, which ends with some
reflexive and evaluative conclusions on the mercantile system of as complex and
versatile figure.
